General Terms and Conditions
For everything you do with portslie — the Free plan, which costs nothing, and the paid plans. They are supplemented by the Service description and, if you take out a paid plan as a consumer, the Withdrawal notice.
§ 1 Scope and contracting parties
1.1 These terms apply to all contracts for the use of portslie between Maurizio Romano, sole proprietor, c/o Impressumservice Dein-Impressum, Stettiner Str. 41, 35410 Hungen, Germany (“we”) and you (“you”, also “customer”).
1.2 A consumer is anyone who concludes a contract for purposes that can predominantly be attributed neither to their commercial nor to their independent professional activity (§ 13 BGB). A business (trader) is anyone who, when concluding the contract, acts in the exercise of such an activity (§ 14 BGB). Where a rule applies to only one of the two groups, this is stated.
1.3 Paid plans are ordered and billed via the customer portal portal.mrmedia.network. Nevertheless, only these terms apply to portslie; the general terms and conditions for MRMedia's hosting services do not apply to portslie contracts. If you create the customer account in the customer portal when ordering portslie, these terms also apply to the account itself — sign-in, stored payment methods, credit balance; if you already had it before, the terms under which you set it up apply to it.
1.4 The customer's own terms and conditions do not apply, even if we do not expressly object to them.
§ 2 What portslie provides
2.1 portslie checks at regular intervals whether the servers and websites you enter (“Targets”) are reachable and whether they respond correctly to a real client. The results are stored and displayed as history; portslie reports outages and recoveries via the alert channels you set up. If you wish, portslie shows the status of your targets on a public status page. Scope, limits and prices per plan are set out in the Service description in the version applicable at the time the contract is concluded.
2.2 Checks are performed from our probe locations. A check result therefore indicates how the target can be reached from there. A disruption on the network path between the probe location and the target may appear as an outage even though visitors or players can reach the target, and vice versa.
2.3 Alerts are handed over to the service you set up as an alert channel (for example your email provider, Discord, Telegram, Slack, Microsoft Teams, ntfy or your own webhook). Whether and when this service delivers the message is beyond our control.
2.4 We operate portslie with due care but do not guarantee any particular availability in percent. Where possible, we schedule maintenance at times of low usage and announce longer maintenance work in advance. Your statutory rights in the event of defects (§ 10) remain unaffected.
2.5 Throughout the entire term of the contract, we provide the updates necessary for portslie to remain in conformity with the contract, including security updates, and inform you about them insofar as they affect you. portslie runs in the browser; you do not need to install anything.
2.6 portslie is not a backup of your servers and does not intervene in them. Checks are performed only from the outside: with the requests that a browser or game client also makes, and via the public query interfaces of the respective service, without signing in.
§ 3 Account and conclusion of the contract
3.1 Free plan. You register with an email address and a password. By submitting, you offer to conclude a contract of use; we accept by creating the account. You need the link we then send you so that we are allowed to send you alerts by email.
3.2 Paid plans. You order in the customer portal. Until you submit the order, you can review all details and change them via the input fields and the shopping cart. By clicking the order button, you make a binding offer. We accept it by sending you an order confirmation or an invoice or by activating the plan — whichever happens first. If you do not yet have a portslie account under the email address provided, we create one and send you a link to set your password.
3.3 After ordering a paid plan, you receive a contract confirmation by email to which these terms, the Service description and the Withdrawal notice are attached in the version applicable to you. We store the text of the contract; the current version is available at /agb, and we will send you earlier versions on request.
3.4 The language of the contract is German.
3.5 An account is personal. You must be at least 16 years old; anyone who is not yet of legal age needs the consent of their parents or other persons with parental responsibility for a paid plan. Keep your access credentials secret and change them if you believe that someone else knows them. We recommend two-factor sign-in.
§ 4 Prices and payment
4.1 The prices set out in the Service description at the time of the order apply. They are final prices; as a small business under § 19 UStG, we do not charge VAT.
4.2 The fee for a paid plan is due monthly in advance, for the first time upon conclusion of the contract and thereafter at the beginning of each billing month. You will find the invoice in the customer portal.
4.3 The available payment methods are shown in the customer portal. For payment methods via the payment service Mollie, the payment is processed by Mollie B.V., Keizersgracht 313, 1016 EE Amsterdam, Netherlands.
4.4 You receive the invoice for the next billing month before it is due. If a monthly fee that has fallen due is not paid, we may withhold the services of the paid plan until it has been paid. During this time, your account continues with the scope of the Free plan; targets above its limit are paused, and your data is retained. As soon as the payment is received, we reactivate the plan.
4.5 We change prices for ongoing contracts only with your consent. Silence does not constitute consent. If you do not consent, the contract continues at the previous price; our right of termination under § 5.3 remains unaffected.
§ 5 Term and termination
5.1 Free plan. The contract runs for an indefinite period. You can end it at any time by deleting your account under Account. We may terminate it in text form with two weeks' notice.
5.2 Paid plans. The contract runs for an indefinite period and is billed monthly. You can terminate it at any time with effect from the end of the current billing month, without any further notice period — via the termination button at portal.mrmedia.network/kuendigen.php or in text form, for example by email to support@mrmedia.network. After it ends, your portslie account continues on the Free plan until you delete it.
5.3 We may terminate a paid plan in text form with one month's notice to the end of a billing month. We refund anything you have already paid for the period thereafter.
5.4 The right of both parties to terminate for good cause remains unaffected. For us, good cause exists in particular if you are in default with two consecutive monthly fees or, despite a warning, materially breach § 7; a warning is not required if the breach is so serious that we cannot reasonably be expected to adhere to the contract even until it has been remedied.
5.5 We switch you between the paid plans upon your request in text form, with effect from the beginning of the next billing month or, if you wish, immediately; in the case of an immediate switch, we settle the price difference for the current month on a daily pro-rata basis.
5.6 If you are a consumer, your statutory rights to end the contract remain unaffected, in particular under §§ 327m and 327r BGB.
§ 6 Right of withdrawal
6.1 If you take out a paid plan as a consumer, you have a right of withdrawal. The details are set out in the Withdrawal notice. You can withdraw online at portal.mrmedia.network/widerruf.php.
6.2 There is no statutory right of withdrawal for the Free plan, because it costs nothing and we process your data only in order to provide the service (§ 312 para. 1a sentence 2 BGB). However, you can end it at any time by deleting your account.
§ 7 What you must observe
7.1 Only enter targets that you operate yourself or whose operator has permitted you to monitor them. Every check is a connection from our probe locations to this target, and the operator sees it in their log.
7.2 You may not use portslie to spy on or put load on third-party systems, to circumvent protective measures or to get around plan limits by using several accounts. Accounts and targets may not be created automatically in large numbers; for automated access, the Large plan provides its API. You may also retrieve the data export under § 9 automatically in any plan.
7.3 You are responsible for the content of your status page — names, texts, logos, colours and the custom domain. It must not violate applicable law or infringe the rights of third parties. You may only connect a custom domain if you are entitled to dispose of it. You grant us the rights we need to display this content publicly on your status page, to reproduce it for that purpose and to back it up — for the duration of the contract.
7.4 You may only have alerts sent to addresses, channels and webhooks that belong to you or whose owner has consented.
7.5 If a third party asserts claims against us because of content on your status page or because of monitoring initiated by you, you shall indemnify us against these claims and the reasonable costs of legal defence, insofar as you are responsible for the infringement. You shall support us with the information necessary to examine and defend against the claims.
7.6 If you use portslie as a business and enter personal data — for example alert addresses of your employees — we process it on your behalf. For this, the Data Processing Agreement (standard contractual clauses of the European Commission under Art. 28 para. 7 GDPR) applies as part of this contract.
§ 8 Reports and measures
8.1 Anyone who notices illegal content on a status page or misuse of portslie can report it electronically to abuse@mrmedia.network. The report should contain the address of the page, a statement of reasons, the name and email address of the person reporting and a declaration that the information is accurate and complete to the best of their knowledge. We confirm receipt and inform the person reporting of our decision.
8.2 We review reports promptly, carefully and by a human. If content is illegal or the use violates § 7, we may — weighing severity, frequency and fault — issue a warning, block content or the status page, pause targets, block the account or terminate the contract. We inform you of the measure and the reasons for it, insofar as this is not prohibited by law. You can object; we will then review the matter again.
8.3 If a target or a status page poses an acute danger to third parties or to the operation of portslie, we may immediately stop monitoring this target or take the status page offline, and will notify you afterwards.
§ 9 Data export and switching providers
9.1 You can download your data at any time under Account as a file in JSON format: your account details and contracts, individually agreed limits, your targets with their settings, alert channels, the settings of your status page, incidents, the stored measurements, your usage counters and the log of your account (for example password and security changes, billing transactions). This is all the data generated by your use. It costs nothing. Not included are your access credentials (password hash, two-factor sign-in key, sessions) — they are of no use with another service, and handing them over would endanger your account — as well as internal notes made by our administration about your account.
9.2 If you want to switch to another service or to your own infrastructure, we do not charge anything for this, neither for the export nor for the termination. Termination of a paid plan takes effect at the latest at the end of the current billing month (§ 5.2). The export is available immediately at any time. On request, we support you in switching and give you all the information you need for it.
9.3 When a paid plan ends, the measurements remain retrievable and exportable to the extent of its history for another 30 days; after that, the retention period of the Free plan applies. If we terminate your account as a whole, you can likewise still retrieve the export for 30 days; after that, we delete the data. If you delete your account yourself, we delete the data immediately. It then remains in our backups for at most four weeks until they are overwritten; after that, it is completely deleted.
9.4 If you terminate a paid plan in order to switch to another provider or to your own infrastructure, you can request that, after the end of the notice period, we continue the plan on the previous terms for a transitional period of up to 30 calendar days; we charge the fee for this on a daily pro-rata basis. You can extend this period once by a duration that you consider appropriate for your switch. During the transitional period, we provide reasonable support to you and to third parties commissioned by you in switching, continue to operate portslie for you unchanged and with due care, inform you of risks known to us to the uninterrupted provision of the service, and protect your data during the transfer as well. The period under 9.3 only begins at the end of the transitional period.
9.5 After the end of the notice period, you can inform us in text form whether you are switching to another provider (stating its details) or to your own infrastructure, or whether we should delete your data. The contract for the paid plan is deemed terminated as soon as the switch has been successfully completed or, if you do not want to switch but to have your data deleted, at the end of the notice period; we confirm this to you in text form. Your account then continues on the Free plan (§ 5.2). If you have requested deletion, we completely delete all data listed in 9.1 after expiry of the period under 9.3; for the backups, 9.3 sentence 4 applies.
9.6 We describe the structure of the export file — fields, formats and known limitations — in a continuously updated form at portslie.com/export-format. Where portslie's technology is operated, which jurisdiction it is subject to and how we prevent unlawful governmental access to data from third countries is set out at portslie.com/infrastruktur.
§ 10 Defects
10.1 If you are a consumer, you have the statutory rights for digital services in the event of defects (§§ 327 et seq. BGB).
10.2 If you are a business, the statutory rules apply to paid plans with the following deviations: you must notify us of disruptions and defects without undue delay. You may terminate because of a disruption or a defect only once we have had an opportunity to remedy it and this has failed, unless setting a deadline or issuing a warning is not required by law (§ 314 para. 2, § 543 para. 3 sentence 2 BGB). Insofar as tenancy law applies to the contract, liability regardless of fault for defects that already existed when the contract was concluded (§ 536a para. 1 alt. 1 BGB) is excluded.
10.3 The Free plan is free of charge. There, we are liable for defects in accordance with § 11; mandatory consumer rights under §§ 327 et seq. BGB remain unaffected.
§ 11 Liability
11.1 We are liable without limitation in cases of intent and gross negligence, for injury to life, body or health, under a guarantee and under the Produkthaftungsgesetz (Product Liability Act).
11.2 If we breach a material contractual obligation through slight negligence, our liability is limited to the foreseeable damage typical for this type of contract. Material obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely. Otherwise, liability for slight negligence is excluded.
11.3 Clauses 11.1 and 11.2 also apply to the Free plan.
11.4 These rules also apply to our vicarious agents and legal representatives.
§ 12 Changes
12.1 We change these terms for ongoing contracts only with your consent. Silence does not constitute consent.
12.2 We change portslie itself beyond what is necessary to keep it in conformity with the contract only for a valid reason: because of a change in the legal situation or an official or court decision, to close a security vulnerability, because a game, a monitored service or an alerting service changes or discontinues its interface or protocol, or to adapt portslie to changed technical standards (for example encryption methods, internet protocols or browsers) — and only if the change is reasonable for you, taking our interests into account. Such changes cost you nothing, and we inform you about them clearly and comprehensibly.
12.3 If a change under 12.2 impairs your access or usability more than insignificantly, we inform you by email, with reasonable advance notice, of the characteristics and timing of the change and, if you are a consumer, of your rights under this clause. If you are a consumer, you can then end the contract free of charge within 30 days of receiving this information or, if the change takes effect later, of the change — unless the impairment is only insignificant or you can continue to use portslie unchanged and at no additional cost (§ 327r BGB).
12.4 We add new functions, check types, games and alert channels at no additional cost; they leave the existing ones unchanged. We inform you about these as well.
§ 13 Governing law and dispute resolution
13.1 The law of the Federal Republic of Germany applies. If you are a consumer, this choice of law applies only insofar as it does not deprive you of the protection afforded by mandatory provisions of the state in which you have your habitual residence.
13.2 We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
13.3 If a provision is invalid, the remainder of the contract remains valid; the statutory provision takes the place of the invalid provision (§ 306 BGB).
